Corporate Attorney
About the Job
MW Law is a boutique real estate private equity law firm, focusing on real estate investment transactions, private structuring, and title insurance. We are seeking a Senior Attorney or Junior Partner with a strong background in corporate law, particularly in entity structuring, joint venture agreements, and investment vehicles, along with experience in securities compliance. This position is intended to grow into a leadership role overseeing the firm’s corporate division.
Key Responsibilities:
Corporate Structuring and Transactions:
• Advise clients on entity formation and structuring, including LLCs, LPs, and other investment entities.
• Draft and negotiate joint venture agreements, partnership agreements, and operating agreements.
• Design and oversee complex investment structures for real estate private equity transactions.
• Advise clients on diverse and complex real estate transactions, focusing on commercial real estate development, ownership, acquisitions, dispositions, and financing.
• Prepare and review loan documents, including term sheets, promissory notes, and ancillary financing documents.
Private Securities Compliance (experience preferred but not required):
• Provide guidance on private placements under Regulation D of the Securities Act (experience with Regulation A is a plus).
• Prepare offering memoranda, subscription agreements, Form D filings, and state BlueSky filings as needed.
• Advise on compliance with the Securities Act of 1933, the Investment Company Act, the Investment Advisers Act, and the Exchange Act.
Team Leadership and Development:
• Oversee associates and support staff within the corporate division, fostering a collaborative and high-performing team environment.
• Manage multiple ongoing transactions and projects, ensuring timely delivery of exceptional legal services.
• Contribute to business development efforts, with opportunities for bonus commissions on origination and, for Junior Partners, a profit share based on collected revenues generated.
Qualifications:
• Minimum 5 years of experience in corporate law with significant experience in entity formations, investment structuring, joint ventures, and loan documentation.
• Familiarity with the Securities Act of 1933 and related securities laws, particularly in the context of private placements.
• Proven ability to manage complex, high-stakes legal matters in a fast-paced, client-focused environment.
• Outstanding organizational skills with a high attention to detail and advanced document drafting abilities, with minimal or no supervision.
· Bar admission (ideally in Texas or ability to become licensed in Texas within a reasonable time frame); JD from an accredited law school.
· Exceptional written and verbal communication skills.
· Public speaking and networking skills are a strong plus.
· An existing book of business is strongly preferred but not required.
