Fareed Kaisani serves entrepreneurs and businesses through his experience in financial restructuring and corporate law.

Fareed routinely advises clients on a variety of corporate matters, including entity formation and structuring, mergers and acquisitions, joint ventures and partnerships, private securities offerings, and general commercial contract negotiation.

Fareed’s prior restructuring experience includes the representation of bankrupt debtors, financial institutions, distressed asset purchasers, landlords, trade creditors, equity holders, bankruptcy trustees, and other key stakeholders. He previously served as the Chair of the Dallas Bar Association Bankruptcy & Commercial Law section. Given his broad range of experience in distressed transactions, Fareed seeks to guide clients through special situation matters while protecting their key interests.

Prior to joining MW Law, Fareed gained valuable experience as a judicial clerk to a U.S. Bankruptcy Judge, and as an associate at highly regarded AmLaw firms that serve large public and private company clients.

Business Restructuring & Bankruptcy

  • Assisted global helicopter services company in restructuring several dozen aircraft leases as part of fleet reorganization plan and $1.5 billion balance sheet restructuring

  • Assisted purchaser in the acquisition of a distressed telecommunications company across multiple states in Section 363 sale

  • Advised board of distressed company on strategies to minimize preference and fraudulent transfer liability

  • Represented creditors’ committee in $250 MM restructuring of oil and gas producer

  • Assisted with negotiation of forbearance agreement with senior secured noteholders for distressed energy company

  • Settled seven-figure preference clawback claim against public company client for nominal amount

  • Prosecuted and successfully settled numbers chapter 5 avoidance actions on behalf of bankruptcy trustees

  • Assisted numerous commercial landlords maximize recoveries against bankrupt tenants

  • Advised a publicly traded limited partnership in a drop-down transaction valued at $135 MM

  • Assisted strategic investor in purchasing several luxury car dealerships in Texas totaling over $120MM

  • Assisted cryptocurrency investment fund raise capital in series seek investment round

  • Assisted SaaS company in recapitalization with venture capital sponsor

  • Advised multiple clients with conducting corporate reorganizations

  • Advised numerous lower-middle market companies through acquisition/sale process
